A business generating CHF 500,000 in sustainable earnings is valued at CHF 3.33 million at a 15% cap rate and at CHF 2.27 million at a 22% cap rate. Shift the sector or firm-level premium upward by 5 percentage points and the cap rate reaches 25.0%, with material consequences for the resulting enterprise value.

IV · Practical Ranges and What Drives Them

The lower portion of that range, roughly 15% to 20%, applies to businesses that are diversified across customers and revenue streams, operate in low-cyclicality sectors, and have management depth that does not depend entirely on the owner's daily presence. Healthcare practices with established referral networks, IT service companies with recurring contract revenues, and essential-infrastructure businesses tend to cluster here.

The upper portion, 22% to 30%, reflects businesses where risk concentrations are material. A restaurant group operating near capacity in a single location, a retail concept sensitive to consumer discretionary spending, or a small manufacturing business whose technical expertise resides entirely with one founding engineer would all attract cap rates toward the top of this range. A business where a single customer accounts for 40% of revenue requires an explicit concentration adjustment, elevating both the firm-level premium and the resulting cap rate.

This is not a punitive observation. It is simply an accurate description of what a disciplined acquirer or financial investor would demand in return for bearing those risks. The cap rate is the market's answer to the question: how much return is required to make this investment worthwhile given everything that could go wrong?

V · Common Errors That Distort the Denominator

Several recurring errors produce cap rates that are either too low (flattering the seller with an inflated value) or too high (disadvantaging the seller in a process where the buyer has constructed the analysis).

Applying a cap rate to un-normalized earnings is perhaps the most fundamental mistake. If the owner draws a below-market salary, the reported earnings overstate the true distributable profit available to a third-party buyer who would need to replace that owner at market cost. Non-operating assets should be valued separately by the method appropriate to their nature and added to the capitalized operating value. Advisors seeking to present an alternative cap rate to a cantonal authority should prepare a written memorandum setting out the source of the risk-free rate, the basis for the market risk premium, the derivation of each company-specific premium with supporting evidence, and the arithmetic that produces the final rate. The memo should be written as though it will be reviewed by someone who is professionally skeptical and numerically literate, because it will be.

This discipline has value beyond the cantonal negotiation context. A cap rate derivation memo prepared to that standard is also the most effective tool an advisor can deploy in a buyer-seller negotiation, in a fairness opinion process, or in the event of a post-transaction tax audit. It demonstrates that the rate was constructed, not assumed.

For SME owners entering a sale or succession process, the cap rate is the number most worth understanding. It is more sensitive to the ultimate transaction price than almost any other input, and it is also the input over which there is the most legitimate room for reasoned disagreement between parties. An owner who understands the components of the cap rate is better positioned to evaluate whether a buyer's proposed valuation reflects a reasonable assessment of risk or an aggressive assumption that compresses value.

The 2026 statutory rate increase is a useful reminder that this number moves, responds to economic conditions, and carries real financial consequences. Treating it as static is not a minor analytical shortcut. It is a structural error in the foundation of the valuation.
